- ACCEPTANCE OF TERMS
By accessing Plan2Capital.com or submitting any form (including investor, founder, registry, inquiry, or document upload forms), you confirm that:
You have read, understood, and accepted this Agreement in full
You are legally capable of entering into binding agreements
You act on your own behalf or are duly authorized to act for an entity
If you do not agree with these Terms, you must not use the Platform.
- SCOPE & NATURE OF SERVICES
Plan2Capital provides non-binding, non-regulated advisory and matchmaking services, which may include:
Business planning and financial modeling
Project development and investment readiness
Introductions between founders, investors, and strategic partners
Strategic advisory and opportunity facilitation
Plan2Capital DOES NOT:
Guarantee funding, investment, partnership, or deal completion
Offer or solicit securities
Provide legal, tax, or regulated financial advice
Act as an agent, fiduciary, or representative of any party
All decisions, negotiations, and transactions occur independently between users.
- NO GUARANTEE – NO RELIANCE
You expressly acknowledge and agree that:
Submission of information does not guarantee funding or investment
Any reliance on information exchanged through the Platform is at your sole risk
You are responsible for conducting your own independent due diligence
Plan2Capital bears no responsibility or liability for outcomes resulting from introductions, communications, or shared information.
- USER REPRESENTATIONS & WARRANTIES
You represent and warrant that:
All information you submit is true, accurate, complete, and lawful
You have the right and authority to submit and share such information
You will not submit misleading, fraudulent, illegal, or unauthorized third-party data
Plan2Capital assumes no responsibility for the accuracy or legality of user-provided content.
- EXPLICIT CONSENT TO DATA COLLECTION & PROCESSING
By submitting information, you provide explicit, informed, and voluntary consent for Plan2Capital to:
Collect personal, professional, and business data
Store and process such data internally and through secure service providers
Use the data for evaluation, matchmaking, communication, advisory, and operational purposes
This includes documents such as pitch decks, financial statements, identification documents, and company profiles.
- EXPLICIT CONSENT TO SHARE INFORMATION (CORE CLAUSE)
You expressly authorize Plan2Capital to selectively share your submitted information on a confidential, point-to-point basis with:
Registered investors
Founders and business owners
Strategic partners, advisors, and clients
You acknowledge and agree that:
Information will not be published publicly
Sharing is purpose-driven and commercially relevant
Once lawfully shared, Plan2Capital cannot control or be responsible for third-party use
You waive any claims against Plan2Capital arising from such lawful disclosure.
- CONFIDENTIALITY DISCLAIMER
While Plan2Capital applies reasonable administrative and technical safeguards:
Absolute confidentiality cannot be guaranteed
Plan2Capital is not liable for breaches by third parties
Users are responsible for requesting independent NDAs where required
- NO FIDUCIARY, AGENCY, OR PARTNERSHIP RELATIONSHIP
Nothing in this Agreement creates:
A partnership
A joint venture
A fiduciary duty
An agency or representation relationship
Plan2Capital acts solely as an independent platform and facilitator.
- LIMITATION OF LIABILITY (MAXIMUM EXTENT)
To the maximum extent permitted by applicable law (EU, UAE, US, UK, and internationally):
Plan2Capital shall not be liable for any:
Investment losses
Loss of profits, revenue, or opportunity
Business interruption or reputational damage
Indirect, incidental, consequential, or punitive damages
Use of the Platform is entirely at your own risk.
- CLASS ACTION WAIVER (US / UK PROTECTION)
Where permitted by law, you expressly waive any right to participate in:
Class actions
Collective actions
Representative proceedings
against Plan2Capital.
- INDEMNIFICATION
You agree to fully indemnify and hold harmless Plan2Capital, its owners, directors, employees, and affiliates from any claims, damages, losses, liabilities, or legal expenses arising from:
Your use of the Platform
Information you provided
Your interactions or disputes with third parties
- NO OFFER OR SOLICITATION (US & UK SAFE HARBOR)
Nothing on this Platform constitutes:
An offer to sell or solicitation to buy securities under the U.S. Securities Act of 1933
A financial promotion under the UK Financial Services and Markets Act 2000
Any regulated activity under SEC, FCA, or equivalent regulations

- ACCREDITED / PROFESSIONAL INVESTOR ACKNOWLEDGMENT
Users from the United States and United Kingdom acknowledge that they are solely responsible for determining whether they qualify as:

Reject submissions
Suspend or terminate access
Remove stored data
without obligation to provide justification.
- GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Courts of the UAE shall have exclusive jurisdiction, subject to mandatory consumer protection laws where applicable.
- ELECTRONIC ACCEPTANCE & FINAL ACKNOWLEDGMENT
By submitting any form or ticking a consent checkbox, you confirm that:
You have read and understood this entire document
You consent to data collection, processing, and selective sharing
You waive any claims against Plan2Capital arising from lawful use of the Platform
Electronic acceptance constitutes a legally binding agreement enforceable worldwide.
